Terms of Service

Welcome to Co-Vibe™. These Terms of Service (“Terms”) govern your use of the Co-Vibe website at covibe.org, the Co-Vibe mobile application, and any related services we offer (collectively, the “Service”).

Co-Vibe is operated by Deepak Sharma, a sole proprietor based in Halifax, Nova Scotia, Canada (“Co-Vibe,” “we,” “us,” or “our”). By accessing or using the Service, you agree to be bound by these Terms.

Plain-language summary. Co-Vibe picks one editorial film or television scene each day and gives you a quiet place to react, find people who felt the same way, and remember it later. You must be 18 or older. We never sell your data. You own what you create; we own the brand and editorial picks. Premium is optional. Launch price is $1.99/month for the first 45 days after launch; standard rate of $3.99/month begins on day 46. Cancel any time.

1. Eligibility

You must be at least 18 years old to create an account or use the Service. By creating an account, you represent and warrant that you are 18 or older and that you have the legal capacity to enter into these Terms.

If you are accessing the Service on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.

2. What Co-Vibe Is

Co-Vibe is an editorial discovery service for film and television. We curate one scene each day, identify the moment a show or film “gets good,” and connect viewers who reacted similarly. The Service includes, without limitation:

We do not host, stream, transmit, or distribute any copyrighted film or television footage. We do not stream music. We do not display third-party show artwork at scale without the appropriate license. Where reference is made to films, shows, or scenes, we rely on factual metadata (titles, episode numbers, minute marks, composer credits) which are not copyrightable under United States or Canadian law.

3. Your Account

Creating an account

Sign-in is required. You must create an account and sign in with Google or Apple to use the Service. The marketing pages at covibe.org are publicly viewable, but the Co-Vibe app itself (reactions, saves, scenes, messaging, X-Ray, Co-Vibe Match, Wrapped) requires authentication. Account creation requires a valid email address and your consent to these Terms and the Privacy Policy.

Your responsibility

You are responsible for keeping your login credentials secure. You agree to notify us promptly at [email protected] if you believe your account has been accessed without your authorization. We are not liable for losses resulting from unauthorized account use that you could have prevented with reasonable diligence.

One account per person

You may create only one account per person, and you may not allow another person to use your account. You may not create an account using false information or another person’s name.

Account deletion

You may delete your account at any time from the Service’s profile screen, or by emailing [email protected]. Upon deletion, your profile data is permanently removed within thirty (30) days, subject to any legal retention obligations.

4. Your Content and Conduct

What you may share

The Service allows you to react to scenes, post reactions, send mascot stickers, and (for Premium subscribers) save Pause Reels and write margin notes. Anything you submit, post, or display through the Service is “User Content.”

You own your content

You retain all rights you have in your User Content. We do not claim ownership of your reactions, sticker posts, profile customizations, saves, or notes.

License you grant us

By submitting User Content, you grant Co-Vibe a worldwide, non-exclusive, royalty-free license to host, store, reproduce, modify (for technical formatting only), and display your User Content solely to operate, improve, and promote the Service. This license ends when you delete your User Content or your account, except where retention is required by law.

Prohibited conduct

You agree not to:

Moderation

We reserve the right (but do not assume any obligation) to monitor, review, edit, or remove User Content that we believe violates these Terms, infringes a third party’s rights, or harms the Service or our users. We may suspend or terminate accounts that repeatedly or seriously breach these Terms.

5. Intellectual Property

Co-Vibe’s rights

The Co-Vibe™ name, wordmark, the Guppu and Guppy mascot characters, all editorial picks, Scene of the Day text, the design and layout of the Service, our original artwork, our original music compositions, our software, our database, and all related trademarks and copyrights are owned by Deepak Sharma operating as Co-Vibe. They are protected by Canadian, United States, and international copyright and trademark law.

Nothing in these Terms grants you any right to use the Co-Vibe™ brand, the Guppu or Guppy mascots, or our editorial content other than as expressly permitted by these Terms.

Third-party metadata

The Service may reference film and television titles, episode numbers, minute marks, composer credits, and other factual metadata. These facts are sourced from public licensed metadata providers and from our own editorial research. Where third-party trademarks are referenced (for example, the name of a film or show), all such trademarks remain the property of their respective owners. No endorsement is implied.

AI-generated illustrations

Scene illustrations displayed throughout the Service are AI-generated original artwork, produced by Co-Vibe via the Pollinations Flux model (Apache License 2.0). These illustrations are evocative interpretations of the emotional or atmospheric quality of a scene, painted in an editorial style. They are not derivative of, and do not reproduce, any copyrighted streaming-service key art, theatrical poster, or production still. Co-Vibe owns all generated outputs and uses them as its own original cinematic illustration set. No streaming-service poster art, episode stills, or behind-the-scenes imagery is displayed.

Reporting infringement

Music and audio

Background music and ambient audio used in the Service come from two sources: (1) original synthesized compositions created in-house by Co-Vibe using pure mathematical synthesis (Python NumPy oscillator stacks rendered via FFmpeg), and (2) royalty-free instrumental tracks licensed under the Pixabay Content License (https://pixabay.com/service/license-summary/). Pixabay’s Content License permits commercial use — including embedding music as background atmosphere in a paid mobile subscription application — with no attribution required, no subscription fee, and no royalty obligation. A timestamped snapshot of the Pixabay Content License as it existed at the time of first use (2026-06-05) is archived in the Co-Vibe project repository for evidentiary purposes (/licenses/pixabay/pixabay-content-license-2026-06-05.md). Both in-house compositions and Pixabay-licensed tracks contain no copyrighted recordings, no third-party samples requiring clearance, and no AI-generated audio. The Service does not stream, embed, or play back any unlicensed third-party music recordings. The Service does not use AI music generators whose training data is subject to active litigation (including but not limited to Suno and Udio). Any future music additions to the Service will be limited to (a) additional in-house synthesized compositions, (b) tracks licensed under permissive licenses comparable to the Pixabay Content License with retained, timestamped license snapshots, or (c) tracks licensed under explicit commercial paid licenses with retained certificates; this Terms section will be updated when new sources are introduced.

AI-generated content disclosure

Consistent with Apple App Store Review Guidelines 4.0 / 4.3 and Google Play Generative AI policy: the Service displays AI-generated illustrations as described above. All AI-generated content is clearly identified as such (badge, footer attribution). Users are not misled into believing AI-generated art represents official key art or licensed production materials. Any future AI features added to the Service will be disclosed in this section and in the App Store / Play Store metadata before release.

Mascot animations and brand video content (Kling AI)

The animated mascot videos used throughout the Service — including the Guppu and Guppy otter characters, the match-celebration animation, the home-page byline mascot, the floating Ask-Guppu button, the onboarding mascot, and other branded brand-identity assets — are AI-generated original animations produced via Kling AI, a generative video service operated by Kuaishou Technology. All such assets were generated from Co-Vibe's own original character reference image and original text prompts, on a paid Kling AI subscription plan held by Deepak Sharma.

Co-Vibe's use of these assets is conducted under express written authorization from Kling AI support, captured in writing on 2026-05-31, covering both:

  1. Commercial use in a paid mobile subscription app, including integrating Kling AI videos into the Service as brand identity and allowing users to share them on public platforms such as Instagram, TikTok, and X; and
  2. Watermark removal for paid members, including use of alpha-cutout (background-removed) versions of the videos as part of the Service's identity and for user sharing features.

Co-Vibe credits Kling AI as the originating animation engine and acknowledges Kling AI as the source of all mascot animations and brand video content in the Service. Co-Vibe does not use Kling AI-generated content to develop or provide any competitive product or service to Kling AI. Third-party attributions and credits

Co-Vibe gratefully acknowledges the following third-party tools, services, and assets used in the Service:

All trademarks, service marks, and brand names of third parties referenced above remain the property of their respective owners. No endorsement or affiliation is implied beyond the licensed use described.

If you believe content on the Service infringes your copyright, please send a notice to our designated DMCA agent in accordance with our DMCA Policy.

6. Premium Subscription

How Premium works

Co-Vibe Premium is an optional paid subscription. Launch introductory rate is USD $1.99/month for the first forty-five (45) days after the official launch date. On day forty-six (46), Premium reverts to the standard rate of USD $3.99 per month, billed monthly. Annual plans may be offered at a discount. Founder Pass holders (the first 50 sign-ups via covibe.org) receive 60 days of Premium free; standard rates apply thereafter.

Payment

Subscriptions purchased through the Apple App Store are billed by Apple under the Apple Media Services Terms. Subscriptions purchased through Google Play are billed by Google under Google Play’s payment terms. Web subscriptions, if offered, are billed through a PCI-compliant payment processor.

Cancellation

You may cancel Premium at any time from your account settings (or, for App Store / Play Store subscriptions, from the respective store’s subscription management page). On cancellation you retain Premium access until the end of the current billing period. We do not provide pro-rated refunds for partial periods unless required by applicable law.

Free trials

Where we offer a free trial, you authorize the relevant payment processor to charge you the regular subscription fee at the end of the trial unless you cancel before the trial ends. Trial terms are disclosed at the point of sign-up.

Price changes

We may change the price of Premium with at least 30 days’ notice by email or in-app notification. Continued use of Premium after a price change indicates your acceptance of the new price. If you do not accept the new price, you may cancel before it takes effect.

7. Beta and Founders’ Status

The first one hundred (100) users to register may be designated “Founders” and may receive a one-month Premium trial at no cost. Founders’ pricing, where granted, applies only while the user maintains continuous active subscription. Founders’ status, where granted, is non-transferable and is at our sole discretion.

8. Privacy and Data

Your use of the Service is governed by our Privacy Policy, which is incorporated into these Terms by reference. The Privacy Policy explains what we collect, how we use it, how long we keep it, and your rights over it.

In short: we never sell your data. We use only the minimum personal data necessary to operate the Service. Your reactions and saves are private by default. You can delete your account at any time.

9. Disclaimers

The Service is provided “as is” and “as available.” To the maximum extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Service will be uninterrupted, error-free, secure, or free from viruses or other harmful components. We do not warrant that the editorial picks, recommendations, or AI scene-finder results will meet your taste or expectations.

The Service may contain links to third-party sites (for example, Apple Music or Spotify links for soundtrack information). We do not control those sites and are not responsible for their content, terms, or privacy practices.

10. Limitation of Liability

To the maximum extent permitted by law, in no event shall Co-Vibe (or its operator Deepak Sharma) be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, loss of data, loss of goodwill, or business interruption, arising out of or in connection with your use of the Service.

Our total cumulative liability to you for any and all claims arising out of or related to the Service is limited to the greater of (a) CAD $100 or (b) the total amount you have paid to Co-Vibe in the twelve (12) months immediately preceding the event giving rise to the claim.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, the foregoing limitations apply to the maximum extent permitted by law.

11. Indemnity

You agree to indemnify, defend, and hold harmless Co-Vibe and Deepak Sharma from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with: (a) your access to or use of the Service; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any third party’s rights, including any intellectual property or privacy right.

12. Termination

You may terminate your account at any time by deleting it through the Service or by emailing [email protected].

We may suspend or terminate your account at any time if we reasonably believe you have violated these Terms, if required by law, or if continuing to provide the Service to you would expose Co-Vibe to legal liability or commercial harm.

On termination, your right to access the Service ends immediately. The following sections survive termination: Intellectual Property, Disclaimers, Limitation of Liability, Indemnity, and Governing Law.

13. Governing Law and Disputes

These Terms are governed by the laws of the Province of Nova Scotia, Canada, and the federal laws of Canada applicable in Nova Scotia, without regard to conflict-of-laws principles.

Any dispute arising out of or in connection with these Terms or the Service that cannot be resolved by good-faith negotiation between us shall be brought exclusively in the courts located in Halifax, Nova Scotia, and you consent to the personal jurisdiction of those courts.

If you reside in a jurisdiction that grants you mandatory consumer-protection rights that would override this governing-law clause, those rights are preserved.

14. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will notify you at least 30 days in advance by email or by an in-app notice. The “Effective” date at the top of these Terms shows when the current version took effect.

Your continued use of the Service after a change takes effect constitutes your acceptance of the updated Terms. If you do not accept the updated Terms, you must stop using the Service before the change takes effect.
